For finance directors and CFOs in UK financial services, the Senior Managers and Certification Regime (SMCR) isn’t just a compliance topic. It decides whether you can take the job at all, what you are personally accountable for once you do, and how your finance team supports the regulated side of the business.
Many experienced finance professionals meet the regime for the first time when they’re offered a role at an FCA-regulated firm. It’s a significant change from a corporate finance director role. Nobody at a manufacturing or technology company needs the regulator’s approval to become finance director. At a regulated firm, the most senior finance role often carries a Senior Manager Function, and approval comes before the first day in post.
The Finance Roles That Carry a Senior Manager Function
At larger firms, the Chief Finance function is a designated Senior Manager Function: SMF2. The SMF2 holder is responsible for managing the firm’s financial resources and reporting to the board on them. At dual-regulated banks and insurers, the Prudential Regulation Authority approves the appointment, and its focus on capital and liquidity puts the finance leader at the centre of how the firm is supervised.
At smaller firms, the finance director may instead hold SMF3 as an executive director, or carry specific responsibilities in their Statement of Responsibilities. Firms holding client money or assets must allocate responsibility for compliance with the client assets rules (CASS) to a Senior Manager. That responsibility often falls to the finance director.
Whichever form it takes, the person holding the function must meet the regulator’s fit and proper test on:
- honesty, integrity and reputation
- competence and capability
- financial soundness
Once approved, they are personally accountable for their area under the Duty of Responsibility.
What This Means for Finance Professionals
For chartered accountants and finance leaders considering a move into financial services, the regime changes the job search in three ways.
Timing. The regulator can take up to three months to decide a complete application. Add a senior notice period, and a move can take six months or more from offer to start date.
Evidence of competence. A strong statutory reporting background isn’t enough on its own. The regulator wants to see experience relevant to the specific function. For finance leaders, that often means prudential reporting, capital requirements, liquidity management or, at investment firms, the ICARA process.
Due diligence works both ways. Because the accountability is personal, experienced finance leaders look hard at a firm before accepting. That includes its regulatory history, how well the finance function is resourced, and what they would inherit.
The finance team behind the Senior Manager matters too. Regulatory returns, safeguarding reconciliations, CASS records and capital calculations all need qualified people who understand the rules. These are some of the most in-demand roles in the finance market.
